Who Can Receive Dividends?

Only shareholders of the company are eligible to receive dividends. The amount they receive is proportional to the shares they hold.

When Can Dividends Be Taken?

  • Dividends can only be paid out of profits after taxes have been accounted for.
  • They must not impact the company’s ability to meet its financial obligations.

This means your business must have sufficient retained earnings to cover the amount you want to withdraw as dividends.

Steps to Declare Dividends

  1. Review Financial Health: Confirm your company has enough post-tax profits.
  2. Hold a Board Meeting: Directors must approve the dividend payment.
  3. Create a Dividend Voucher: Document the dividend amount, date, and shareholders involved.
  4. Pay Dividends: Transfer the funds to the shareholder’s account.

Tax Implications of Dividends

  • Dividends are subject to personal income tax, but rates are typically lower than standard income tax.
  • For the tax year 2024/2025 the first £500 is tax-free under the Dividend Allowance. 
  • The rate of tax you pay on dividends depends on how many dividends you are taking and how much your other income is for the year. The basic tax rate is 8.75%, higher is £33.75% and the additional rate is 39.35%

Rules and Risks

  • Illegal Dividends: Paying dividends when there are no sufficient profits is against the law and could lead to fines.
